Terms of Service

These Terms of Service ("Terms") govern your access to and use of forkrado.com, the Forkrado Studio platform and related services (the "Service") provided by Forkrado LLC ("Forkrado"), based in Denver, Colorado, United States. By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

1. The service

Forkrado provides an AI-powered platform that helps restaurants and local merchants manage their online presence, customer channels, content and marketing, including optional integrations with third-party platforms such as Google Business Profile, Meta (Facebook and Instagram), point-of-sale providers (Clover and Square) and Stripe for payments.

2. Accounts and eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. You must be legally able to enter into these Terms and use the Service in compliance with applicable laws.

3. Connected third-party platforms

The Service lets you connect third-party accounts, including Google Business Profile, Meta (Facebook and Instagram), point-of-sale providers (Clover and Square) and Stripe. When you connect a platform, you authorize Forkrado to access and act on that platform on your behalf to provide the features you enable. You remain the owner of your listings and accounts and can remove our access at any time. Your use of any third-party platform is also subject to that platform's own terms, including the Meta Platform Terms. Our access to and use of Google user data is described in our Privacy Policy and complies with the Google API Services User Data Policy, including its Limited Use requirements.

4. Plans, billing and cancellation

• Plans. Plans are priced per location as shown on our pricing page at the time you subscribe.
• Monthly billing. Monthly plans renew each month until cancelled. You can cancel at any time and your plan stays active until the end of the current billing month.
• Yearly billing. Yearly plans are billed once a year at the yearly price, which equals 10 months of the monthly price. Yearly plans renew each year unless cancelled before the renewal date. We will email you before a yearly plan renews.
• Refunds. Refunds are handled under our Refund Policy.
• Price changes. We will give you at least 30 days' notice before a price change applies to your plan. Yearly plans keep their price until renewal.
• Taxes. Prices do not include taxes unless stated. You are responsible for applicable taxes.

5. Payments and online ordering

If you enable payments, transactions are processed by Stripe under Stripe's own agreements and Privacy Policy. Card details are submitted directly to Stripe. Forkrado does not store full card numbers. You are responsible for the accuracy of your pricing, taxes and fulfillment, and for handling refunds and disputes for orders placed through the Service. Forkrado is not a party to the transaction between you and your customers.

Guest service fee. Online orders placed through Forkrado ordering pages include a 5% guest service fee, shown to guests on the menu and at checkout before they pay. You are responsible for any disclosure your local law requires for mandatory fees, including Colorado's pricing transparency rules.

6. Acceptable use

• Do not use the Service for unlawful, harmful or fraudulent purposes.
• Do not attempt to gain unauthorized access to the Service or its data.
• Do not publish content that is illegal, infringing or violates a connected platform's policies, including fake reviews or offering incentives for reviews.
• Do not interfere with or disrupt the integrity or performance of the Service.
• You are responsible for the customer personal data you process through the Service and for obtaining any consent it requires.
• Comply with applicable marketing laws, including the TCPA and the CAN-SPAM Act, and honor recipients' opt-out requests.

7. AI-generated content

The Service uses AI models to draft replies, posts, captions and images. You can review and edit content before it is published, and replies to 1-star reviews always wait for your approval. You are responsible for content published under your business name, including making sure images accurately represent your food.

8. Your content

You retain ownership of the content and data you provide or connect. You grant Forkrado a limited license to host, process and transmit that content solely to operate and provide the Service to you.

9. Intellectual property

The Service, including its software, design and trademarks, is owned by Forkrado and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or secure, and we do not guarantee any specific ranking, traffic or sales result, since search platforms control their own results.

To the maximum extent permitted by law, Forkrado will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising from or related to your use of the Service.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. When your account ends, your Google listings and your social accounts remain yours, you can export your customer list, and any website we built for you is taken offline. Your domain stays yours. Sections that by their nature should survive termination will survive.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law and venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Denver, Colorado, and you consent to their personal jurisdiction.
